These Terms of Service ("Terms") form a legal agreement between you and NZT Digital Solutions Ltd, a company incorporated in Scotland under company number SC876897 whose registered office is at Clyde Offices, 2nd Floor, 48 West George Street, Glasgow, G2 1BP ("NZT", "we", "us"), governing your use of the NZTRM platform (the "Service").
By accessing or using the Service you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.
NZTRM is a business-to-business energy risk management platform providing reporting, portfolio analytics, data ingestion and client communication tools. It is intended for use by businesses, not consumers.
Access to the Service is granted on a per-tenant basis under a separate commercial agreement between NZT and the customer organisation. Individual users access the Service via credentials issued by their organisation's administrator or via single sign-on.
You are responsible for keeping your credentials confidential and for all activity under your account. You must notify your organisation's administrator and privacy@nztdigital.com promptly if you believe your account has been compromised.
You agree not to:
You (or the customer organisation on your behalf) retain all rights, title and interest in the data you upload ("Customer Data"). You grant NZT a limited licence to process Customer Data solely for the purpose of providing the Service and complying with legal obligations. NZT processes Customer Data in accordance with our Privacy Policy and any Data Processing Agreement in place with the customer organisation.
All right, title and interest in the Service itself, including all software, documentation, branding and content authored by NZT, belongs to NZT. These Terms grant you a limited, non-exclusive, non-transferable licence to access and use the Service for your business purposes.
Fees, if any, are set out in a separate commercial agreement. During User Acceptance Testing, the Service may be provided at no charge under a separate Letter of Authority.
We aim to make the Service available at all times but do not guarantee uninterrupted availability. We may perform planned or emergency maintenance with such notice as is reasonable in the circumstances. Any service level agreement is set out in a separate commercial agreement.
The Service is provided "as is" during User Acceptance Testing. To the maximum extent permitted by law, NZT disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.
You acknowledge that the Service performs calculations on commercial energy data and that the accuracy of outputs depends on the accuracy of inputs. You are responsible for validating the Service's outputs before relying on them for business decisions.
To the maximum extent permitted by law, NZT shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, business, data or goodwill. Nothing in these Terms excludes or limits NZT's liability for death or personal injury caused by its negligence, for fraud, or for any other liability which cannot be excluded or limited by law.
Either party may terminate these Terms in accordance with the separate commercial agreement. On termination, your access to the Service will be disabled and Customer Data will be deleted or returned in accordance with the retention policy.
We may update these Terms from time to time. Material changes will be communicated via the Service or by email. Continued use after the effective date of a change constitutes acceptance of the updated Terms.
These Terms are governed by and construed in accordance with the laws of England and Wales. The parties submit to the exclusive jurisdiction of the courts of England and Wales in respect of any dispute.
